These Terms and Conditions ("Terms") govern your access to and use of the Balsira Group website, procurement platform, and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
Balsira Group ("we," "us," or "our") operates as a demand aggregation and procurement company supporting infrastructure development across Africa.
"Platform" refers to the Balsira Group website and any associated procurement portals.
"User" refers to any individual or entity accessing our Services.
"Supplier" refers to vendors, contractors, or service providers registered on our Platform.
"Buyer" refers to organizations issuing tenders or procurement requests through our Platform.
3.1. Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services.
3.2. Account Registration: Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.
3.3. Prohibited Activities: Users may not use the Platform for unlawful purposes, transmit malware, attempt unauthorized access, or engage in fraudulent activities.
4.1. Balsira Group acts as an intermediary demand aggregator connecting suppliers with buyers across African infrastructure projects.
4.2. We do not manufacture, sell, or take ownership of any equipment, materials, or services listed on the Platform. All transactions are conducted directly between Buyers and Suppliers.
4.3. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.
5.1. Suppliers must provide accurate, truthful, and up-to-date information regarding their company, products, services, and capabilities.
5.2. Suppliers must comply with all applicable laws, regulations, and industry standards in their respective jurisdictions.
5.3. Suppliers are responsible for the quality, safety, and delivery of their products and services.
5.4. Suppliers must maintain appropriate licenses, certifications, and insurance as required by law and specific tender requirements.
6.1. Buyers must provide clear, accurate, and complete tender specifications and requirements.
6.2. Buyers are responsible for evaluating supplier proposals and conducting due diligence.
6.3. Buyers must honor payment terms agreed upon with suppliers for awarded contracts.
7.1. Subscription Fees: Certain features of the Platform may require payment of subscription fees. All fees are quoted in USD unless otherwise specified.
7.2. Payment Terms: Fees are due as specified in your subscription agreement. Failure to pay may result in suspension of Services.
7.3. Refunds: Subscription fees are generally non-refundable unless required by applicable law or at our sole discretion in exceptional circumstances.
7.4. Transaction Fees: Balsira Group may charge transaction fees for successful procurement matches, as detailed in our fee schedule.
8.1. All content on the Platform, including text, graphics, logos, and software, is the property of Balsira Group or its licensors and is protected by intellectual property laws.
8.2. Users may not reproduce, distribute, modify, or create derivative works from our content without express written permission.
9.1. Users agree to maintain the confidentiality of any proprietary or sensitive information accessed through the Platform.
9.2. Our collection and use of personal data is governed by our Privacy Policy and applicable data protection laws, including POPIA (South Africa) and similar regulations in other jurisdictions.
10.1. To the maximum extent permitted by law, Balsira Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
10.2. Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to Balsira Group in the 12 months preceding the claim.
10.3. We do not guarantee continuous, uninterrupted access to the Platform and shall not be liable for any downtime or technical issues.
You agree to indemnify and hold harmless Balsira Group, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
12.1. We may suspend or terminate your access to the Services immediately for any violation of these Terms.
12.2. Upon termination, all licenses granted to you shall cease, and you must cease all use of the Platform.
12.3. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
13.1. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation.
13.2. If negotiation fails, disputes shall be resolved through mediation or arbitration in Johannesburg, South Africa, in accordance with the Arbitration Foundation of Southern Africa rules.
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles. For users based in East Africa, the laws of Tanzania shall apply as a secondary jurisdiction where appropriate.
We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notice. Continued use of the Services after changes constitutes acceptance of the revised Terms.
